Terms of Service and End User License Agreement

1. Introduction

1.1 Service Description
Tethxr is a proximity-based networking and social connection platform designed to help users discover and connect with nearby people who share similar interests. The Service is made available worldwide where legally permitted. Tethxr is designed primarily for networking and interest-based social connections (for example, meeting peers, collaborators, or friends), not as a hookup or explicitly sexual service. Consensual dating connections may arise as a subset of broader networking and social interactions, but you must not use the Service primarily or exclusively to seek sexual encounters or commercial sexual services.

1.2 Binding Agreement
These Terms constitute a legally binding agreement between you and Tethxr regarding your use of the Service. By creating an account, accessing, or using the Service, you confirm that you have read, understood, and agreed to be bound by these Terms.

1.3 Additional Policies
Your use of the Service is also subject to our Privacy Policy, which explains how we collect, use, and share your information, including sensitive demographic data (such as religion, political views, etc.) and compliance with applicable privacy and data protection laws (including GDPR, CCPA, PIPEDA, LGPD, and other regional laws, where applicable). The Privacy Policy is incorporated by reference into these Terms.

2. Eligibility

2.1 Age Requirement (18+)
The Service is strictly limited to individuals who are 18 years of age or older. By using Tethxr, you represent and warrant that:

• You are at least 18 years old; and
• You have the legal capacity to enter into a binding contract in your jurisdiction.

2.2 No Use by Minors
Minors under 18 are not permitted to use the Service under any circumstances. We reserve the right to request proof of age and to suspend or terminate your account if we believe you are under 18.

2.3 Legal Use Only
You may use the Service only if:

• You comply with these Terms; and
• Your use is not prohibited by applicable law in your jurisdiction.

3. Account Registration and Security

3.1 Account Creation
To use certain features of Tethxr, you must create an account by providing accurate and complete information. You agree to keep your account information up to date.

3.2 Account Credentials
You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must:

• Not share your credentials with anyone; and
• Notify us immediately if you suspect any unauthorized access or use of your account.

3.3 One Account Per Individual
Unless expressly permitted by Tethxr, you may not maintain more than one personal account or create an account on behalf of another person.

4. Community Rules & Zero Tolerance Policy

4.1 Zero Tolerance for Objectionable Content and Abuse
Tethxr has an absolute zero tolerance policy for objectionable content, harassment, abusive behavior, and any other forms of misuse. Objectionable content and behavior include, but are not limited to:

• Harassment, bullying, stalking, or threats of violence.
• Hate speech or content that attacks or demeans a person or group based on race, ethnicity, religion, gender, gender identity, sexual orientation, disability, or any other protected characteristic.
• Sexually explicit, pornographic, or sexually exploitative content.
• Content involving minors or that sexualizes minors in any way.
• Violent, graphic, or incitement-to-violence content.
• Illegal, fraudulent, misleading, or deceptive content or conduct.
• Spam, scams, phishing, or other malicious activity.
• Content that infringes or violates intellectual property, privacy rights, or other rights of third parties.

Any user who engages in objectionable content or conduct may have their account immediately and permanently terminated without prior notice.

4.2 Hookups, Dating, and Sexual Use
Tethxr is not a hookup service and is not designed to be used primarily as a dating service. While consensual dating or romantic connections may develop as a natural subset of networking and social interactions, you must not use Tethxr to:

• Use the Service primarily or exclusively to solicit sexual encounters.
• Request or offer sexual services or any form of commercial sexual activity.
• Share sexually explicit or pornographic content, including nudity intended to arouse.
• Use the Service in a way that turns it into an explicit hookup or sexual content platform.

All sexually explicit, pornographic, exploitative, or otherwise inappropriate sexual content or conduct is strictly prohibited and may result in immediate and permanent termination of your account under our zero-tolerance policy.

4.3 Prohibition on Harmful and Dangerous Interactions
You must not use Tethxr to:

• Coordinate or encourage physical harm, self-harm, or criminal activity.
• Organize or participate in activities that could reasonably be expected to cause harm to yourself or others.

4.4 Compliance with Laws and Terms
You agree to comply with all applicable laws and these Terms, including the Community Rules in this Section 4. Violation of these rules can result in immediate suspension or termination of your account and potential legal action.

5. User-Generated Content and Behavior

5.1 User Content
You remain solely responsible for any content you create, upload, post, send, or otherwise make available through the Service (“User Content”), including but not limited to:

• Profile information and photos.
• Messages and chat content.
• Status updates, bios, tags, and interests.

5.2 No Pre-Screening Obligation
Tethxr does not have a general obligation to pre-screen User Content, but reserves the right (without obligation) to review, remove, or restrict any User Content at any time for any reason, including for violations of these Terms or applicable laws.

5.3 Representation About User Content
You represent and warrant that:

• You own or have the necessary rights to your User Content; and
• Your User Content does not violate these Terms or any third-party rights.

6. Content Moderation, Reporting, and Blocking

6.1 Reporting Objectionable Content or Users
Tethxr provides mechanisms for you to report objectionable content and abusive users. These include:

• In-app reporting tools (for example, a “Report” button on profiles, posts, or messages).
• Email reporting via [email protected].

When you submit a report, you should provide as much detail as possible to help us investigate (e.g., screenshots, usernames, timestamps).

6.2 Blocking Users
The Service may provide tools that allow you to block other users. Blocking a user generally:

• Prevents that user from messaging you; and
• Limits or prevents their ability to view your profile or interact with you within the Service.

Details of blocking functionality may vary by version and platform. Use the in-app controls or help resources to understand how blocking works in your current version of Tethxr.

6.3 Moderation Actions and Timelines
Tethxr will review reports of objectionable content and abusive behavior as promptly as reasonably possible. Where a violation is determined:

• We may immediately remove or disable access to the violating content.
• We may immediately suspend or permanently terminate the offending account, in line with our zero-tolerance policy.
• We may implement additional safeguards, including limiting features, requiring re-verification, or blocking device identifiers or related accounts.

6.4 No Obligation to Report Back
Tethxr is not required to inform you of the outcome of any moderation action resulting from your report, though we may do so at our discretion.

7. Location Services and Privacy

7.1 Use of Location Data
Tethxr uses real-time device location to facilitate discovery of nearby users and features. When you open or actively use the app, we may collect and process your approximate or precise device location (where permitted under your device settings and local law).

7.2 Location Sharing with Other Users
To protect your privacy and physical safety:

• Exact GPS coordinates are never shared with other users.
• Distances are displayed or used within the app using abstracted, bucket-based sorting (e.g., “very nearby,” “nearby,” “within X km”), designed to reduce the risk of precise location triangulation.
• We may adjust or obfuscate distance information to prevent other users from inferring your exact location.

7.3 Control of Location Permissions
You may control the app’s access to your location through your device settings. Restricting location access may limit or disable certain features of Tethxr (such as discovering nearby users).

7.4 Privacy Policy Reference
Further details on how we collect, use, store, and share location data and other personal data, including sensitive demographic data (such as religion or political opinions), are provided in our Privacy Policy, which is incorporated into these Terms.

8. Technical Infrastructure, Encryption, and Data Storage

8.1 Technical Stack
For transparency, Tethxr is built using various technologies and third-party services, which may include:

• Flutter or similar cross-platform frameworks for the mobile app.
• Supabase or similar services for authentication, database, and real-time messaging.
• Amazon Web Services (AWS) S3 or similar services for media and file storage.

These services may store and process your data on servers located in various countries, subject to their respective terms and data protection practices, as described in the Privacy Policy. Where supported, these services are configured to enable encryption of data at rest and in transit.

8.2 Envelope Encryption for Messages and Media
Texts and images sent through Tethxr chat are protected using an envelope encryption model. In this model:

• Your chat content (messages and associated media) is encrypted using one or more data encryption keys.
• Those data encryption keys are then encrypted with one or more key encryption keys managed in a secure key management system.
• The underlying plaintext content cannot be read without access to the appropriate keys.

This layered approach helps protect your chat data even if storage media or backups are compromised, because decryption requires access to keys that are managed separately from the encrypted payload.

8.3 Encryption at Rest
Data stored by Tethxr, including chat content and associated media, is encrypted at rest using industry-standard encryption mechanisms (for example, database, disk, and object storage encryption). This is designed so that data is not readable from raw storage media without decryption keys.

8.4 Encryption in Transit
Data transmitted between your device and Tethxr’s servers, and between internal components of Tethxr’s infrastructure, is encrypted in transit using industry-standard transport-layer security (such as TLS) to reduce the risk of interception or unauthorized reading while data travels over networks.

8.5 Data Security Efforts and Limitations
Tethxr uses reasonable technical and organizational measures to protect your data from unauthorized access or misuse. However, no method of transmission over the internet or method of electronic storage is completely secure, and we cannot guarantee absolute security of your data. You should not use Tethxr to exchange information that you consider extremely sensitive (such as full payment card details, government identification numbers, or detailed medical records).

9. Data Retention and Deletion

9.1 Retention
Tethxr retains your personal data and User Content for as long as reasonably necessary to provide the Service, comply with legal obligations, resolve disputes, enforce agreements, and for legitimate business purposes, as described in the Privacy Policy.

9.2 Deletion Requests
You may request deletion of your account and associated personal data by contacting us at [email protected]. Upon receiving a verified deletion request:

• We will disable your account and initiate a 30-day grace period.
• If you log in or explicitly withdraw your request during that period, deletion may be canceled.

9.3 Execution of Deletion
After the 30-day grace period:

• We will permanently delete or de-identify personal data associated with your account, subject to any data we are legally required or permitted to retain.
• Some information may persist in backup or archival copies for a limited period, after which it will be overwritten or securely destroyed in accordance with our data retention standards.

9.4 Limitations
Deletion of your data from Tethxr systems does not guarantee deletion of data that other users may have stored outside the Service (e.g., screenshots, recordings, or exports), for which Tethxr is not responsible.

10. License Grant to You (End User License)

10.1 License Grant
Subject to your compliance with these Terms and applicable platform terms (e.g., Apple App Store, Google Play), Tethxr grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:

• Download and install a copy of the Tethxr app on a device you own or control; and
• Access and use the Service solely for your personal, non-commercial use.

10.2 Restrictions
You agree not to:

• Copy, modify, or create derivative works of the app or any part thereof.
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the app, except where permitted by law.
• Circumvent, remove, or tamper with any security or technological protection measures.
• Use automated means (bots, crawlers, scrapers) to access or interact with the Service.
• Rent, lease, lend, sell, distribute, or sublicense the app or any part of the Service.
• Use the Service for any unlawful purpose or in any manner that could damage, disable, overburden, or impair the Service.

10.3 Updates
We may provide updates, upgrades, or modifications to the app. These Terms will apply to any such updates unless accompanied by a separate license.

11. User Content Ownership and License to Tethxr

11.1 Ownership of Your Content
You retain ownership of any intellectual property rights that you hold in your User Content. Tethxr does not claim ownership of your User Content.

11.2 License You Grant to Tethxr
By submitting User Content through the Service, you grant Tethxr a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to:

• Host, store, reproduce, distribute, display, and perform your User Content; and
• Use, modify, adapt, and create derivative works from your User Content, solely for the purposes of operating, improving, marketing, and providing the Service (including for safety, moderation, and legal compliance).

This license continues for as long as your User Content is stored in our systems, and may persist in anonymized or aggregated form even after your account is deleted, where permitted by law.

11.3 Public and Private Content
Depending on your settings and the features you use:

• Some User Content (e.g., profile info, interests) may be visible to other users.
• Messages are generally visible only to you and the recipients, subject to our moderation and compliance capabilities described in these Terms and the Privacy Policy.

11.4 Feedback
If you provide feedback, suggestions, or ideas about the Service (“Feedback”), you grant Tethxr a perpetual, irrevocable, worldwide, royalty-free license to use such Feedback for any purpose without obligation to you.

12. Tethxr’s Intellectual Property

12.1 Ownership
All rights, title, and interest in and to the Service (excluding User Content) are owned by Tethxr and its licensors, including:

• Software, code, interfaces, graphics, design, layouts, and compilation.
• Logos, trademarks, service marks, and branding.
• Text, images, and content provided by or on behalf of Tethxr.

12.2 No Implied Rights
Except for the limited license granted in Section 10, these Terms do not grant you any rights or licenses to Tethxr’s intellectual property or that of its licensors, whether by implication, estoppel, or otherwise.

13. Offline Interactions and Safety Disclaimer

13.1 No Responsibility for User Conduct and No Background Checks
Tethxr enables users to discover and connect with nearby individuals based on shared interests. Tethxr does not:

• Screen or verify users’ identities or backgrounds.
• Conduct criminal background checks, sex offender registry checks, or other similar screening.
• Guarantee the truth, accuracy, or completeness of any user’s profile or content.

You acknowledge and agree that you are solely responsible for your interactions with other users, both online and offline.

13.2 Offline Meetings at Your Own Risk
Any decisions you make to communicate, meet in person, or otherwise interact offline with other users are made at your own sole risk. You should:

• Exercise your own judgment and caution.
• Take common-sense safety precautions (e.g., meet in public places, inform a friend or family member of your plans, arrange your own transportation).

13.3 Disclaimer of Liability for Offline Interactions
To the maximum extent permitted by law, Tethxr and its affiliates, officers, directors, employees, and agents shall not be liable for:

• Any acts or omissions of users or third parties; or
• Any injuries, damages, losses, or harms of any kind arising out of or relating to your interactions or meetings with other users, whether arranged through Tethxr or otherwise.

You understand and agree that Tethxr does not and cannot control how users behave in real-life settings.

14. Third-Party Services and App Store Terms

14.1 Third-Party Services
Tethxr may integrate with or link to third-party services, including but not limited to:

• Authentication providers.
• Cloud hosting and storage.
• Analytics and crash reporting tools.

Your use of these services may be governed by separate terms and policies. Tethxr is not responsible for third-party services.

14.2 App Store Providers
If you obtained the Tethxr app via a third-party app store (e.g., Apple App Store, Google Play Store):

• These Terms are between you and Tethxr, not between you and the app store provider.
• The app store provider is not responsible for the app or its content, maintenance, support services, or any claims related to the app.
• The app store provider may be a third-party beneficiary of these Terms and may have the right to enforce them against you.

15. Global Data Protection and Privacy Compliance

15.1 Compliance Overview
Tethxr strives to process personal data in accordance with applicable data protection laws in the regions where we operate, including:

• General Data Protection Regulation (GDPR) for users in the European Economic Area and United Kingdom.
• California Consumer Privacy Act (CCPA) and similar U.S. state laws for eligible users.
• Personal Information Protection and Electronic Documents Act (PIPEDA) for users in Canada.
• Lei Geral de Proteção de Dados (LGPD) for users in Brazil.
• Other relevant regional and national data protection laws, where applicable.

15.2 Privacy Policy Reference
Details of:

• Legal bases for processing,
• Data subject rights,
• Cross-border data transfers, and
• Handling of sensitive categories of data (e.g., religion, political views, etc.)

are described in our Privacy Policy. In the event of any conflict between these Terms and the Privacy Policy regarding data processing, the Privacy Policy shall govern to the extent of that conflict.

16. Disclaimers

16.1 No Warranty
To the maximum extent permitted by law, the Service is provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, whether express or implied, including but not limited to:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
• Any warranties arising out of course of dealing or usage of trade.

16.2 No Guarantee of Availability or Accuracy
Tethxr does not warrant that:

• The Service will be uninterrupted, secure, error-free, or free of harmful components.
• Any content, including User Content or distance/location estimates, will be accurate, complete, or reliable.

16.3 User Responsibility
You are solely responsible for:

• Your use of the Service.
• Your interactions with other users and third parties.

17. Limitation of Liability

17.1 Exclusion of Certain Damages
To the fullest extent permitted by applicable law, Tethxr and its affiliates, officers, directors, employees, agents, licensors, and service providers shall not be liable for any:

• Indirect, incidental, special, consequential, punitive, or exemplary damages; or
• Loss of profits, loss of data, loss of goodwill, or other intangible losses,

arising out of or in connection with:

• Your access to or use of (or inability to access or use) the Service;
• Any conduct or content of any user or third party; or
• Unauthorized access, use, or alteration of your transmissions or content.

17.2 Cap on Liability
To the extent liability cannot be excluded, Tethxr’s total aggregate liability arising out of or relating to the Service or these Terms shall in no event exceed:

• The amount you have paid (if any) to Tethxr in connection with the Service in the 12 months preceding the event giving rise to the claim; or
• If no such payments have been made, a maximum of the equivalent of USD 100.

17.3 Jurisdictional Limitations
Some jurisdictions do not allow the exclusion or limitation of certain damages or implied warranties. In such jurisdictions, some of the above exclusions and limitations may not apply to you. In such cases, Tethxr’s liability shall be limited to the minimum extent permitted by law.

18. Indemnification

You agree to indemnify, defend, and hold harmless Tethxr and its affiliates, officers, directors, employees, and agents from and against all claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

• Your use of, or activities in connection with, the Service;
• Your violation of these Terms; or
• Your violation of any rights of another person or entity (including privacy, publicity, intellectual property, or other proprietary rights).

19. Dispute Resolution

19.1 Informal Resolution
Before initiating formal legal proceedings, you agree to first contact Tethxr at [email protected] to attempt to resolve the dispute informally.

19.2 Arbitration and Governing Law (Where Permitted)
Where permitted by law, you and Tethxr agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by individual, binding arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify.

• Arbitration shall be conducted on an individual basis and not as a class, collective, or representative action.
• You and Tethxr each waive any right to a jury trial and to participate in a class action or class arbitration, where lawful.

19.3 Opt-Out and Local Law
If your local law does not permit mandatory arbitration or class action waivers, or if you opt out of arbitration (where such an option must be provided by law), then disputes shall instead be resolved in the courts of the jurisdiction specified in your localized version of these Terms, or, if no localized version applies, in the competent courts of an appropriate jurisdiction designated by Tethxr.

19.4 Governing Law
Unless otherwise required by mandatory local law, these Terms and any disputes arising out of or relating to them or the Service shall be governed by and construed in accordance with the laws of the jurisdiction in which Tethxr is established, without regard to its conflict of law principles.

20. Account Suspension and Termination

20.1 Suspension and Termination by Tethxr
Tethxr may, at its sole discretion and without prior notice:

• Suspend or terminate your account or access to the Service;
• Remove or disable access to any User Content; and/or
• Take any other remedial action,

if we believe you have violated these Terms, engaged in objectionable conduct, or if your use poses any risk to other users, Tethxr, or third parties.

20.2 Immediate Termination for Abuse or Objectionable Content
In line with our zero-tolerance policy, accounts that engage in objectionable content, harassment, abuse, or other serious violations may be immediately and permanently terminated, without any right to reinstatement or refund (if paid services are ever offered).

20.3 Termination by You
You may stop using the Service at any time and may request account deletion per Section 9.2. Termination of your account will not affect any rights or obligations that arose prior to the termination date.

20.4 Effects of Termination
Upon any termination:

• Your license to use the Service (Section 10) will immediately cease.
• Provisions that by their nature should survive termination (including but not limited to Sections 11–19) will survive.

21. Changes to the Service and These Terms

21.1 Modifications to the Service
Tethxr may add, modify, or discontinue features, functionalities, or the Service as a whole at any time, with or without notice.

21.2 Changes to Terms
We may update these Terms from time to time. When we do:

• We will revise the “Effective Date” at the top of these Terms.
• Where required by law, or if changes are material, we will provide additional notice (e.g., in-app notification or email).

Your continued use of the Service after the updated Terms become effective constitutes your acceptance of the revised Terms. If you do not agree, you must stop using the Service.

22. Miscellaneous

22.1 Entire Agreement
These Terms, together with the Privacy Policy and any additional terms presented to you in connection with specific features or services, constitute the entire agreement between you and Tethxr regarding the Service.

22.2 Severability
If any provision of these Terms is held to be invalid or unenforceable, such provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.

22.3 No Waiver
Tethxr’s failure to enforce any provision of these Terms shall not be deemed a waiver of such provision or any other provision.

22.4 Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. Tethxr may freely assign or transfer these Terms and its rights and obligations without restriction.

22.5 Language
If these Terms are translated into other languages, the English version (if provided) will control in the event of any conflict, unless otherwise required by applicable law.

This document is intended to describe the terms under which Tethxr offers the Service to users. It does not constitute legal advice to you, and you should consult your own legal counsel regarding your obligations and rights.
